A. By accessing or using this website or application (“Platform”), You acknowledge that You have read, understood, and agree to be bound by the Terms & Conditions, Privacy Policy and Return and Refunds Policy (hereinafter collectively referred to as “Terms of Use”) as displayed on this Platform. If You do not agree with any part of these Terms of Use, please refrain from accessing or using this Platform.

B. You are requested to read these Terms of Use carefully before using, registering on, or accessing any content, material, products, or services through the Platform. If You do not accept these Terms of Use, kindly discontinue the use of this Platform immediately.

C. For the purposes of these Terms of Use, “You” “Your” or “User” means any natural or legal person who uses, browses, or registers on the Platform, whether to avail of specific services viz list the product of purchaser the product on Platform or for general informational purposes. The terms “Company” “We” “Us” or “Our” refer to Ufurno Private Limited.

D. The Company reserves the right, at its sole and absolute discretion, to modify, amend, add to, or delete any provision of these Terms of Use at any time without prior notice to You. All previous versions of the Terms of Use shall be retained and made accessible on the Platform for reference. The publication of revised Terms of Use on the Platform shall constitute sufficient and reasonable notice of such modification or amendment. It shall be Your responsibility to review the Terms of Use periodically to ensure continued awareness of any changes. Continued access to or use of the Platform following the publication of such revisions shall be deemed to constitute Your acceptance of the amended Terms of Use.

E. As long as You comply with these Terms of Use, We grant You a limited, non-exclusive, non transferable, and revocable right to access and use the Platform for lawful purposes only. By using this Platform, whether as a registered user or otherwise, You expressly and impliedly agree to be legally bound by these Terms of Use, effective from the moment You first access the Platform.

F. The Platform is an end-to-end managed marketplace operated by the Company, enabling consumers (“Purchaser”) to purchase furniture from the registered third-party sellers listed on the Platform (“Seller”). The Company only serves as an intermediary, by providing market place, for facilitating secure transactions between Seller and Purchaser through integrated services including product listing, logistics management, delivery co-ordination, payment processing, and support for returns or cancellations.

1. DISCLAIMER

1.1 All Sellers on this Platform are independent third parties who utilize the Company’s marketplace services to list and sell their furniture products. The Company does not manufacture, own, or directly sell any products listed on the Platform. The relationship between the Company and the Seller is strictly that of a service provider and service user.

1.2 Company expressly disclaims all warranties, representations, or guarantees, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. All products are provided “as is” and “as available.”

1.3 Any content, listings, or representations regarding products published by Sellers do not constitute endorsements or guarantees by the Company.

1.4 By using the Platform, the User acknowledge and consent to the collection, use, processing, and storage of personal data in accordance with the Privacy Policy published on the Platform.

1.5 The Company provides a managed marketplace platform that enables independent Sellers to list, advertise, publish, and sell furniture products on Company's Platform, and enables Purchaser to browse, order, and purchase such products. The Company does not own, manufacture, design, or independently manage the products listed on the Platform, except to the extent Company provides ancillary services such as warehousing, logistics, payment processing, and customer support on behalf of Sellers.

1.6 Further, in relation to any products or listings on the Platform, the Company clarifies that it is not a manufacturer, broker, agent, or vendor, and is not acting as an agent in any capacity for any Seller and Purchaser. If You are entering or using this Platform in any capacity, You acknowledge that Company exercises no control over product listings, including but not limited to any information, descriptions, images, or representations provided by Sellers therein. We, however, reserves the sole and absolute right to monitor, moderate, edit, format, approve, reject, or remove content at its own discretion for Platform operation, fraud prevention, legal compliance, quality assurance, consumer protection, and to maintain the integrity and reputation of the Platform. The Company reserves the right to take any suitable action, including delisting Products, suspending accounts, or terminating user access, to ensure compliance with applicable laws and Platform policies.

1.7 You understand and acknowledge that the Company does not control, endorse, verify, or assume responsibility for any advertisements, product description, or any other content, including without limitation images, photos, videos, sounds, or any other material made posted by the Sellers on the Platform ("Content"). By using the Platform and the services, You may be exposed to Content that is offensive, inaccurate, misleading, incomplete, defamatory, obscene, unlawful, or otherwise objectionable. You acknowledge and agree that You are responsible for and must evaluate, and bear all risks associated with, Your reliance on or use of any Content, including but not limited to any claims, infringement, damages, suits, losses, fines, penalties, or any other actions initiated against You by any third party, purchaser, consumer authority, statutory body, or local authority. You acknowledge and agree that under no circumstances will the Company be liable in any manner for any Content, or for any claims, infringement, damages, suits, losses, fines, penalties, legal proceedings, or any other actions of any kind incurred as a result of browsing, using, relying upon, or reading any Content listed, posted, or otherwise made available on the Platform.

1.8 You acknowledge and agree that the Company does not have obligation to pre-screen, verify, or approve any Content posted by Sellers or users, but that the Company has the right, in its sole and absolute discretion, to refuse, delete, delist, edit, move, or moderate any Content that is or may be available through the Platform, for violating these Terms of Use, applicable laws, consumer protection standards, intellectual property rights, or Platform policies, and such violation or non-compliance being brought to the Company's knowledge, or for any other reason or no reason at all.

1.9 Furthermore, the Platform and Content available through the Platform may contain links to other third-party websites, platforms, payment gateways, or external services ("Third-Party Websites"), which are related or unrelated to the Company. If You are directed to or choose to access such Third-Party websites, You may be subject to those Third-Party websites' terms and conditions, privacy policies, and other legal agreements. The Company makes no representation, warranty, or guarantee as to the accuracy, authenticity, safety, legality, or reliability of the information, content, products, or services contained in any such Third-Party website, and Your use of or reliance upon any Third-Party websites is completely at Your own risk. The Company, expressly disclaims all liability arising from or in connection with Your use of Third-Party websites.

1.10 The Seller posting Content, acknowledge and agree that You are solely responsible for Your own Content posted on, transmitted through, uploaded to, or linked from the Platform, and for all consequences of posting, transmitting, linking, or publishing such Content. More specifically, You are solely responsible for all Content that You upload, photograph, describe, or otherwise make available via the Platform.

1.11 In order to facilitate delivery of the Product, the Company shall be required to disclose, share, or otherwise transmit certain personal data, including Seller’s name, address, and contact number, to its authorized logistics partners in connection with the transaction contemplated under the relevant Product listing. The Sellers hereby expressly consent to the Company sharing such personal data with its authorized logistics partners for the aforesaid purpose. The Company shall exercise reasonable care in selecting its logistics partners; however, the Company shall not be liable for any misuse, unauthorized disclosure, or breach of confidentiality of the Seller’s personal data by such logistics partners. The Sellers acknowledge and accept that once the personal data is shared with the logistics partners, the control and protection of such data are subject to the logistics partners’ own data protection policies.

2. User Obligation

2.1 If You use the Platform, You shall be responsible for maintaining the confidentiality of Your Display Name and Password and You shall be responsible for all activities that occur under Your Display Name and Password. You agree that if You provide any information that is untrue, inaccurate, not current or incomplete, We shall have the right to indefinitely suspend or terminate or block Your access on the Platform. You agree to immediately notify the company of: a. any unauthorized use / breach of Your password or account and b. ensure that You exit from Your account at the end of each session.

2.2 You hereby acknowledge and accept that all the information provided by You on the Platform belongs to You and have not display, upload, modify, publish, update or share any information which does not belong to You, or You are not authorized to.

3. GUIDELINES FOR LISTING OF PRODUCT BY SELLERS

3.1 As a Seller listing the Product on the Platform, You confirm that all information, images, and descriptions provided for Your Product(s) accurately depict their true condition, features, quality, and intended use. You further undertake to ensure that each listing:

a. Complies in all respects with applicable laws, regulations, official requirements and terms of Seller Agreement;

b. Does not infringe or violate any intellectual property or proprietary rights, including copyrights, trademarks, patents, or trade secrets, unless You possess valid authorization or ownership;

c. Is free from unlawful, harmful, defamatory, obscene, discriminatory, or otherwise offensive content, including material that promotes hatred, violence, or illegal conduct;

d. Does not disclose any personal or confidential information without proper consent;

e.Does not impersonate or misrepresent any person, company, or affiliation;

f.Is not deceptive or misleading, whether through inaccurate descriptions, false representations, or manipulated images;

g.Is free of any malicious code, virus, or program intended to damage, impair, or interfere with the Platform or users’ devices;

h.Does not disrupt, manipulate, or compromise the normal operation, security, or integrity of the Platform, including through the use of automated systems, bots, or scraping tools; and

i.Relates solely to content that You have the lawful right to post or distribute.

3.2 Furthermore, the Sellers listing the Products for sale on the Platform shall ensure that Your listings comply with all applicable legal and regulatory requirements, and You shall not engage in any unfair trade practice, misleading advertisement, or deceptive conduct. You shall provide clear, accurate, and accessible information to consumers, including but not limited to:

a. The Seller shall provide complete, accurate, and truthful information regarding each Product listed on the Platform, including but not limited to dimensions, materials, finish, design details, colour, condition, and any known defects or variations that may affect the appearance, quality, or usability of the Product;

b. The Seller shall upload clear, high-resolution photographs of the Product from multiple angles, accurately representing the actual look and condition of the furniture item being offered. The use of digitally altered, filtered, or representative images not corresponding to the actual Product is strictly prohibited;

c. The Seller acknowledges that the accuracy of the Product description and photographs is vital for ensuring Purchaser’s confidence and the integrity of the Platform. The Seller shall promptly correct or update any erroneous information upon being notified by the Purchaser or the Company;

3.3 By uploading, posting, or submitting any content on or through the Platform, the Seller grants to the Company a non-exclusive, worldwide, royalty-free, perpetual, transferable, sub-licensable, and irrevocable license to use, host, store, reproduce, modify, adapt, publish, translate, create derivative works from, display, and distribute such content, in whole or in part, in any manner and through any media now known or hereafter developed, for the purposes of operating, maintaining, promoting, and improving the Platform and the Company’s related services and business activities.

3.4 The Company reserves the right, in its sole discretion, to review, edit, suspend, or remove any Product listing that is misleading, inaccurate, incomplete, or otherwise in breach of these Terms of Use or applicable law, without prior notice to the Seller;

4. INTELLECTUAL PROPERTY

4.1 All intellectual property rights associated with the Platform, its content, and the Company's services are proprietary to the Company. This includes, without limitation, copyrights, trademarks, service marks, trade names, logos, designs, patents, trade secrets, software, text, graphics, images, video, information, data, databases, audio, and other material (collectively, "Intellectual Property" or"IP"). The Intellectual Property is protected by Indian and international intellectual property laws and treaties. All content and materials displayed or available on the Platform are deemed to be specified items of Intellectual Property. Any information, including ideas, concepts, know-how, or techniques disclosed by You in connection with Your use of the Platform, that is marked or reasonably understood to be confidential, shall be treated as Confidential Information as defined below.

4.2 The Company is the sole and exclusive owner of all Intellectual Property rights in and to the Platform and its content. All rights, title, and interest in and to the owned Elements of the Platform, including without limitation the design, structure, selection, coordination, expression, "look and feel," and arrangement of such content, contained on the Platform are owned by the Company, and are protected by applicable laws and regulations throughout the territory of India and globally.

4.3The Company grants You a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for Your personal, non-commercial use. You are permitted to view, download, and print pages from the Platform for Your personal use, subject to the usage conditions and restrictions set forth in the Terms of Use. This grant does not include any right to: (a) modify, reproduce, distribute, or publicly display any Licensed IP; (b) use any data mining, robots, or similar data gathering or extraction methods; or (c) transfer, sublicense, or assign any rights granted herein. Any use of the Platform or its content other than as specifically authorized herein, without the prior written permission of the Company, is strictly prohibited and will terminate the license granted herein. No financial consideration is payable to You for this permitted use. Upon termination of Your account, Your rights to use the Platform's Intellectual Property shall cease, provided that any cached or archived copies may persist.

4.4 You expressly agree not to infringe upon or violate the Intellectual Property rights of the Company or any third party. You shall not, directly or indirectly, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying ideas or algorithms of any part of the Platform. You shall not engage in any non permitted acts or restrictions, including but not limited to, copying, distributing, modifying, transmitting, displaying, performing, reproducing, publishing, licensing, creating derivative works from, transferring, or selling any part of the Intellectual Property obtained from the Platform, except as expressly permitted herein. You agree to immediately notify the Company of any suspected or actual Intellectual Property infringement or violation. You shall make no claims of ownership over the Company's Intellectual Property.

4.5In the event of any IPR Infringement by You, the Company reserves the right to take all necessary legal actions, including but not limited to, seeking injunctive relief, damages, and recovery of legal costs, to enforce its Intellectual Property rights. You agree to cooperate fully with the Company in any such enforcement actions.

4.6 No waiver of any Intellectual Property rights of the Company shall be implied or deemed unless explicitly granted in writing by an authorized representative of the Company. The Intellectual Property rights of the Company are not waivable, and any purported waiver not in accordance with this clause shall be null and void.

5. RESTRICTION ON PLATFORM ACCESS FOR MINORS

5.1 By using this Platform, You confirm that You are at least 18 years old and legally able to enter into binding agreements under the laws that apply to You. You also confirm that You fully understand and agree to follow all terms, responsibilities, and conditions set out here. If You are using the Platform on behalf of someone else or an organization, You confirm that You have full legal authority to do so and to bind them to these Terms.

5.2 This Platform is meant for adults only. Users under 18 are not allowed to use the services or enter into transactions on the Platform, as minors cannot legally enter into contracts under Indian law. If You are under 18, please do not use this Platform or attempt any transaction.

5.3 If You are a parent or legal guardian, You may allow a minor to view content on the Platform under Your supervision. However, You cannot enter into any contract or transaction on behalf of a minor, and any such action will be considered as done in Your personal capacity, not on behalf of the minor.

5.4 If You are under 18 years old, please do not share any personal details such as Your name, contact number, or email address. If You need to get in touch with us, kindly do so through Your parent or legal guardian.

6. PLATFORM USAGE

6.1 The Platform provides various services, including [e.g., product browsing, purchasing, selling, information access]. The nature and scope of these services are as described on the Platform and may be updated from time to time.

6.2 You agree to use the Platform in compliance with the Terms of Use, any additional policies, rules, directions, or guidelines posted on the Platform, and all applicable laws and regulations. Non-compliance with these policies or terms, including but not limited to fraudulent activities, abusive behavior, or violation of legal requirements, may result in the suspension or termination of Your account and access to the Platform's services, at the sole discretion of the Company.

7. INDEMNIFICATION AND LIABILITY

7.1 You (the"Indemnifying Party") agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, agents, and licensors (the"Indemnified Party") from and against any and all losses, liabilities, claims, demands, damages, costs, and expenses (including reasonable attorneys' fees) ("Indemnified Elements") arising out of or in connection with ("Indemnified Events"):

a. Your breach of any provision of the Terms of Use;

b. Your violation of any applicable law, rule, or regulation;

c. Your infringement of any third-party intellectual property or privacy rights;

d. Any content You submit, post, or transmit through the Platform;

e. Your negligence or willful misconduct. The Indemnified Party shall provide prompt Notice of Loss to the Indemnifying Party upon becoming aware of any Indemnified Event. The Indemnified Party shall provide reasonable cooperation, at the Indemnifying Party's expense, in the defense of any such claim. Proof of Loss shall be provided to the extent reasonably available.

7.2 To the maximum extent permitted by applicable law, in no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with Your use of, or inability to use, the Platform. This limitation applies regardless of whether the damages arise from breach of contract, tort (including negligence), or any other legal theory.

8. SUSPENSION OF ACCOUNT AND/ OR RESTRICTION OF ACCESS

8.1 The Company reserves the right to terminate or suspend Your access to all or part of the Platform, at its sole discretion, for reasons including, but not limited to:

a. Your breach of any provision of the Terms of Use and/ or Seller and Purchaser Agreement;

b. Your violation of any applicable law or regulation;

c. Engaging in fraudulent, deceptive, or harmful activities;

d. Any conduct that the Company, in its sole discretion, believes is harmful to the Company or its users;

e. Requests by law enforcement or other government agencies;

f. Discontinuation or material modification of the Platform’s service;

g. Unexpected technical or security issues or problems.

8.2 Upon any of the aforementioned termination or suspension event, Your rights to use the Platform shall immediately cease. The termination and suspension of account will involve immediate deactivation or deletion of Your account and all related information and files in Your account, and/or barring any further access to such files or the Platform.

9. DISPUTE RESOLUTION

Any dispute, difference, or claim arising between the Seller and the Purchaser shall be construed, governed, and resolved strictly in accordance with the respective terms and conditions of the Seller Agreement and the Purchaser Agreement individually executed by each of them with the Company.

10. MISCELLANEOUS

In case of any conflict between these Terms of Use and the provisions of the Seller Agreement and/or Purchaser Agreement, the terms of the respective agreement shall prevail for the relevant user category.

Grievance Officer

In accordance with the Digital Personal Data Protection Act, 2023, and other applicable laws, the Company has appointed a Grievance Officer to address complaints or concerns regarding the processing of Your personal data or use of the Platform.

The Grievance Officer will acknowledge receipt of Your complaint within seven (7) days and endeavor to resolve it within thirty (45) days from the date of receipt, in accordance with applicable legal requirements.
